1. Agreement to Terms
These Terms & Conditions (“Terms”) govern your use of UTM Manager (the “Service”), operated by Optizent, LLC (“Company,” “we,” “us”).
By creating an account or using our services, you agree to these Terms and our Privacy Policy.
2. Accounts & Organizations

You must provide accurate information and keep your login credentials secure.

You are responsible for all activity under your account.

If you join or create an Organization:

Org Admins can manage membership, roles, and billing.
-
Org Admins can view activity and data contributed by members (e.g., UTM links, templates, audits).

By joining an Organization, you acknowledge and accept this visibility.

3. Acceptable Use
You agree not to:

Violate applicable laws or third-party rights.
-
Upload or transmit malicious code, or attempt to bypass security.

Use the Services to store or process unlawful, sensitive, or harmful data.

Misrepresent your identity or affiliation.
-
Resell or provide access to the Services without authorization.
We may suspend or terminate accounts that violate these rules.
4. Subscriptions, Billing & Taxes

Subscriptions: Fees are billed in advance on a recurring basis until canceled.

Trials: If you don’t cancel before a trial ends, you may be charged automatically.

Upgrades/Downgrades: Prorations may apply.

Refunds: Unless required by law, fees are non-refundable (including partial billing periods).

Taxes: You are responsible for all applicable taxes, except those based on our income.
5. Features, Availability & Changes

We may update, modify, or discontinue features with notice when feasible.

We use analytics tools (e.g., Google Analytics, error monitoring, usage tracking) to understand how the Services are used and to improve performance.

We host the Services on trusted third-party providers and strive for high availability.

We do not guarantee 100% uptime or uninterrupted access. Outages, delays, and downtime may occur.
6. Customer Data & Content

Ownership: You retain ownership of content and data you provide (“Customer Data”).

License: You grant us a limited license to host, process, and display Customer Data to provide the Services and enable org collaboration.

Org Access: Within Organizations, Org Admins may access Customer Data you contribute.

Responsibility: You are solely responsible for ensuring Customer Data is accurate, lawful, and backed up.

While we perform regular backups, we are not liable for any loss, corruption, or recovery of Customer Data.
7. Intellectual Property
The Services, software, documentation, and all associated intellectual property remain the property of Optizent, LLC and its licensors. You are granted a limited, non-transferable right to use the Services under these Terms.
8. Confidentiality
Both parties agree to protect confidential information disclosed during the use of the Services, using the same degree of care as for their own confidential information (minimum reasonable care).
9. Security
We implement technical and organizational measures designed to protect your data, including encryption in transit, access controls, monitoring, and regular backups.
However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
We encourage you to protect your account with a strong password and to keep your login credentials secure.
We are not liable for unauthorized access, hacking, data loss, or breaches beyond our reasonable control.
10. Privacy & Data Protection
Our Privacy Policy describes how we collect and process personal information.

We act as a processor for certain data you submit (e.g., audit files, GA4 IDs) and as a controller for account-level information.

Where required, our Data Processing Addendum (DPA) governs controller-processor relationships.
11. Third-Party Services & Integrations

Some features involve integrations with third-party services (e.g., Google Analytics, BigQuery, WordPress).

Your use of such services is subject to their own terms and policies.

We are not responsible for third-party services beyond our obligations.
12. Warranties & Disclaimers
The Services are provided “as is” and “as available.”
We disclaim all warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law:

We are not liable for indirect, incidental, consequential, or punitive damages.

We are not liable for damages resulting from:

Service interruptions or downtime,

Data loss or corruption,

Unauthorized access, breaches, or use of your account or Customer Data.

Our total liability for all claims is limited to the amount paid by you to us in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Optizent, LLC, its affiliates, officers, employees, and agents from claims, damages, or expenses arising from:

Your use of the Services;

Customer Data;

Your violation of these Terms or applicable law.
15. Termination

You may cancel your subscription at any time.

We may suspend or terminate accounts that violate these Terms.

Upon termination, your right to use the Services ceases, but certain sections (e.g., IP, confidentiality, liability) survive termination.
16. Governing Law & Disputes
These Terms are governed by the laws of Washington, USA, without regard to conflicts of law principles.
Venue lies exclusively in the courts located in King County, Washington.
17. Changes to Terms
We may update these Terms from time to time. The “Last Updated” date will always reflect the change. Material updates will be communicated (e.g., by email or in-app). Continued use after changes take effect means you accept the updated Terms.
